These Official Rules (“Rules”) govern any sweepstakes offered by Sponsor the call-to-action, abbreviated rules, and/or other sweepstakes-related materials (collectively, “CTA”) for which link to or reference these Rules (any a “Sweepstakes”). All participants agree to be bound by these Rules and the decisions of Sponsor and its representative(s) (“Rep”), which are final and binding. For each Sweepstakes, Sponsor will publish a CTA that includes applicable details not specified in these Rules, including the entry period for that Sweepstakes (“Sweepstakes Period”), the available prize(s), the value thereof, and any other conditions, limitations, or details applicable to that Sweepstakes. (Details provided in a CTA are incorporated into these Rules by reference for purposes of the applicable Sweepstakes.) Sweepstakes are open only to legal residents of one of the 50 United States or DC (“Territory”) who are at least the age of majority in their place of residence (18 in most states, 19 in AL & NE, 21 in MS). Employees, officers, directors, or representatives of Sponsor, as well as the immediate family members and members of the same household (whether or not related) of any such person, are not eligible. Void outside the Territory and where prohibited by law.
During the Sweepstakes Period, eligible entrants may enter by completing the entry form available in connection with or linked to from the CTA for the applicable Sweepstakes. Those who do not provide the required information or abide by these Rules and all other instructions of Sponsor and its Rep(s) may be disqualified and any associated entry void. Entries or participation made on your behalf by any other individual or by you for another individual or made by or for any entity or group are invalid and void. LIMIT ONE (1) ENTRY PER PERSON – unless the CTA for a Sweepstakes expressly specifies otherwise. Sponsor may, in its discretion, void any entry submitted in excess of this limit, through any automated means, or that it deems or suspects of being fraudulent. Following the close of the Sweepstakes Period, potential winner(s) will be selected in a random drawing conducted by Sponsor or its Rep. Potential winners will be notified by Sponsor or its Rep and must respond as instructed and within the time frame specified. If any potential winner fails to timely respond as instructed or if Sponsor or its Rep determines at any time that a potential winner or winner is in violation of these Rules, that person may be disqualified and an alternate winner may be selected (time permitting), even if the disqualified winner has been announced anywhere. All entries and potential winners are subject to verification by Sponsor. Each confirmed winner will receive a prize as described in the CTA and Sponsor or its Rep’s communication with such winner. Odds of winning depend on # of eligible entries recv’d for the Sweepstakes. All prize details not described in a CTA will be determined by Sponsor in its sole discretion. Prize is nontransferable and not redeemable for cash. Sponsor may for any reason in its discretion (including prize unavailability) substitute an advertised prize for an alternate prize of equal or greater value. Prize is awarded “AS IS” with no warranty, representation, or guarantee, express or implied, made by Sponsor or for which any Released Party (defined below) will be liable. Winner is solely responsible for any costs/fees/expenses associated with acceptance/use of the prize not specified in the CTA as being part of the prize (incl. any travel necessary to use the prize). Should prize include any admission or event ticket, then (1) ticket is subject to additional terms as dictated by the ticket issuer and/or event or venue operator and (2) Sponsor will have no responsibility or liability for any failure of a scheduled event to occur as planned, including due to inclement weather, labor strike, or performer cancellation.
In the event of an alleged or actual ambiguity/discrepancy between statements contained in any CTA or other Sweepstakes materials and these Official Rules, it will be resolved by Sponsor its sole discretion. Sponsor reserves the right, in its sole discretion, to terminate, modify, or suspend any Sweepstakes if the Sweepstakes becomes incapable of running as planned for any reason, incl. if there is any suspected or actual tampering with the entry process or Sponsor otherwise believes that the administration, security, or fairness of the Sweepstakes has been compromised. EACH ENTRANT AGREES TO RELEASE, DISCHARGE, HOLD HARMLESS AND INDEMNIFY SPONSOR, ITS AFFILIATES, SUBSIDIARIES, AND PROMOTIONAL PARTNERS, AND EACH OF THEIR EMPLOYEES, OFFICERS, AGENTS, AND REPRESENTATIVES (“RELEASED PARTIES”), FROM AND AGAINST ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH PARTICIPATING IN ANY SWEEPSTAKES- OR PRIZE-RELATED ACTIVITY OR THE ACCEPTANCE, USE, OR MISUSE THE PRIZE. Released Parties will have no liability for unauthorized intervention in any part of the entry process or technical or human error of any kind which may occur in the administration of the Sweepstakes. These Rules and any dispute relating to a Sweepstakes will be governed by the laws of California, without regard to its conflicts of law principles. Any dispute related to these Rules or any Sweepstakes will be resolved via binding, individual arbitration pursuant to the dispute-resolution process set forth in Sponsor’s Terms of Use, available at rivian.com/legal/terms. By entering, each entrant agrees (to the extent permitted by applicable law) that, in the event of a dispute between entrant and any Released Party, entrant will not be permitted to obtain an award for, and hereby waives all rights to claim or seek, equitable/injunctive relief or any damages of any kind, including attorneys’ fees, other than entrant’s actual out-of-pocket expenses (if any), not to exceed ten dollars ($10) – provided that nothing herein will preclude the arbitrator from granting public injunctive relief as specified under Sponsor’s Terms of Use.
